Terms of service
These terms govern the use of this website and of the VARDEN platform operated by VARDEN LLC.
1. Parties and scope
These terms are an agreement between you and VARDEN LLC (“VARDEN”, “we”, “us”). They apply to your use of this website and, together with the account agreement signed when an account is opened, to your use of the platform. Where the two differ, the account agreement prevails.
2. Eligibility
The platform is offered to businesses and to individuals acting in a professional capacity. By opening an account you confirm that you are authorised to bind the business you represent and that the information you provide is accurate and kept up to date.
3. Account opening and verification
Accounts are opened after a review of the business, its activity and its beneficial owners. We and our payment partners may request documents at any time to meet legal and contractual obligations, and may decline, suspend or close an account where those obligations cannot be met.
4. Payment processing and funds
Payment transactions are processed, and funds are held and settled, by regulated third-party payment service providers and acquiring partners. VARDEN LLC does not hold client funds. Your use of the platform is also subject to the terms of those partners, which are provided when the account is opened.
Payouts are made to the bank account registered on your account on the next business day following settlement, subject to the rolling reserve applicable to your plan and to any hold required by law, by a card network or by a payment partner.
5. Fees
Fees for the Standard plan are published on the pricing page. Fees for other plans are set in the account agreement. Fees are deducted from settled funds before payout. We may change published fees with at least 30 days’ notice by email.
6. Your obligations
- Use the platform only for the activity declared at account opening.
- Comply with the Acceptable use policy.
- Keep API keys and dashboard credentials confidential.
- Fulfil orders, handle refunds and answer disputes in good faith.
- Display accurate prices, taxes and delivery terms to your customers.
7. Disputes and chargebacks
Chargebacks, reversals and associated network fees raised against your transactions are your responsibility and may be deducted from settled funds or from the reserve. We provide the tooling to respond to disputes; the outcome is decided by the card network or payment method operator.
8. Term and termination
There is no minimum term. You may close your account at any time from the dashboard or by email. We may suspend or terminate an account for breach of these terms, on instruction from a payment partner or authority, or where required by law. On closure, remaining funds are paid out after the reserve period and any open disputes are resolved.
9. Availability and changes
We work to keep the platform available at all times but do not guarantee uninterrupted access except where a service-level agreement has been signed. We may change features of the platform; where a change materially reduces the service, we give notice by email.
10. Liability
To the extent permitted by law, our liability to you under these terms is limited to the fees you paid to us in the twelve months before the event giving rise to the claim. We are not liable for indirect loss, lost profit or loss caused by third-party services, including payment partners, that we do not control.
11. Governing law and venue
These terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict-of-law rules. Any dispute arising from these terms or from the use of the platform is submitted to the competent courts located in Kentucky, unless mandatory law gives you the right to bring proceedings elsewhere.
